In return for the list of real estate described below by [name of broker] (broker) and the consent of the real estate agent to do everything in his power to rent the property, the undersigned lessor (owner) thus grants the broker the exclusive right to negotiate the lease agreement of the property for the period beginning on June 1 at 12:00 .m. 2011 and ending on May 31, 2012 at 12:00.m. If the lessor enters into a Memorandum of Understanding, Agreement in Principle, Option or Similar Lease Agreement for the Property during the above period, the Broker`s exclusive right to negotiate the Lease of the Property is automatically extended by the number of days the Memorandum of Understanding, Agreement in Principle, Option or Similar Contract is in effect. The period of the broker`s exclusive right to negotiate the lease and/or sale of the immovable property, including its renewal, is hereinafter referred to as the “exclusive period”. After the expiry date and unless the contract has been previously terminated, this exclusive offer continues from one month to the next and may then be terminated by either party with timely notification to the other party. The Lessor releases the Broker from and from all losses, claims, causes of recourse, debts and damages resulting from the physical or environmental condition, size or value of the property, property conditions, zoning, accuracy or completeness of the reports or authorized uses.

The lessor defends, indemnifies and maintains the broker harmless and without prejudice to all losses, claims, means, liabilities and damages (including, but not limited to, reasonable attorneys` fees and expenses) arising out of or associated with information about the property provided by the lessor, the owner`s representatives or representatives, or essential facts about the property, that are known to the landlord or the landlord`s representatives and that the lessor does not disclose to brokers or potential tenants or buyers. It goes without saying that it is illegal for the owner or broker to refuse to exhibit, rent or sell the property to a person on the basis of race, skin colour, religion, national origin, sex, sexual orientation, marital status or disability. The lessor undertakes to pay the broker a leasing commission (commission) in accordance with the broker`s schedule of Lease Commissions referred to in paragraph 12. The lessor agrees that the commission be paid to the broker for the services provided during the exclusive period if, before the end of the exclusive period: (a) the real estate is leased, whether by or by a broker, lessor or someone else or (b) an offer to lease the property is made directly or indirectly by a supplier, who is willing to rent the property on terms pleasing to the owner, whether that supplier is provided by or through a broker, owner or someone else. The lessor also agrees that the above commission will be paid to the broker for the services provided during the exclusive period if the property is rented and / or sold within 180 days from the end of the exclusive period, whether by a broker or by a broker, lessor or any other person on the basis of negotiations initiated with a natural or natural organization, with whom the broker has traded or to whom the broker has transferred the property during the exclusive period. For the purposes of this paragraph, it is considered conclusive that the broker has negotiated with or transferred to a natural or legal person the immovable property that (i) made an offer to lease the property during the exclusive period or (ii) whose name appears on a list that the owner has transmitted to the owner within ten working days immediately after the end of the exclusive period. . .
